1. Agreement to Terms

Welcome to Promptmonitor. These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "User") and Bootstrapped LLC ("Promptmonitor," "we," "us," or "our") governing your access to and use of the Promptmonitor platform, including our website at promptmonitor.io and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Promptmonitor is a Generative Engine Optimization (GEO) and AI visibility tracking platform that:

Monitors brand mentions across multiple AI assistants and large language models
Provides competitive intelligence and visibility analytics
Tracks AI-driven search performance
Offers website analytics with privacy-first tracking
Provides AI search, crawler, and bot analytics

The Service is designed primarily for businesses and marketing professionals seeking to optimize their visibility in AI-generated responses and recommendations.

3. Account Registration and Eligibility

3.1 Account Creation

To use the Service, you must:

Create an account by providing accurate and complete information (name, email, country, job title, company size, profile picture)
Authenticate using Google OAuth or other supported authentication methods
Be at least 18 years of age or the age of majority in your jurisdiction
Have the legal authority to enter into these Terms (if representing an organization)
Maintain the security and confidentiality of your account credentials

3.2 Account Responsibilities

You are responsible for:

All activities that occur under your account
Maintaining accurate and up-to-date account information
Immediately notifying us of any unauthorized access or security breach
Not sharing your account credentials with third parties

3.3 Business Accounts

If you register on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Free Trial

4.1 Trial Period

We offer a 7-day free trial for new users to evaluate the Service. During the trial:

You receive full access to the features of your selected plan
No payment is required upfront
You may cancel at any time during the trial without charge
Your subscription will automatically begin after the trial period ends unless you cancel

4.2 Trial Limitations

Free trials are limited to one per user or organization
We reserve the right to modify or discontinue free trial offers at any time
Abuse of the free trial (multiple accounts, fraudulent activity) may result in immediate termination

5. Subscription Plans and Pricing

5.1 Available Plans

We offer the following subscription plans:

Starter Plan: $29/month
Lite Plan: $89/month
Startup Plan: $249/month

Each plan includes different features, data refresh rates, and team seat allocations as described on our website.

5.2 Pricing Changes

Prices are subject to change at any time at our sole discretion
If you have an active subscription when a price change occurs, your existing subscription rate will remain unchanged (grandfathered)
New subscriptions or plan changes after a price increase will be subject to the new pricing
We are not required to provide advance notice of price changes

5.3 Taxes

Prices do not include applicable taxes, duties, or fees imposed by governmental authorities. You are responsible for paying all such taxes, duties, and fees.

6. Payment Terms

6.1 Payment Processing

All payments are processed securely through Stripe
We do not store your credit card information on our servers
By providing payment information, you authorize us to charge your payment method for the applicable fees

6.2 Billing Cycle

Subscriptions are currently billed on a monthly basis
We may introduce annual billing options in the future
Billing occurs on the same day each month as your initial subscription date
Failed payments may result in service suspension or subscription cancellation

6.3 Payment Failure

If payment fails:

We will notify you and attempt to charge your payment method again
Your subscription may be automatically cancelled after repeated payment failures
Your account data will be retained, but you will lose access to active Service features until payment is resolved

7. Refund Policy

7.1 Refund Eligibility

We offer refunds under the following conditions:

Within 48 Hours: If you request a refund within 48 hours of being charged, we will process a full refund
After 48 Hours: Refunds are not available after the 48-hour window

7.2 Refund Process

To request a refund:

Email support@promptmonitor.io within 48 hours of being charged
Include your account email and reason for the refund request
We will process approved refunds within 5-10 business days

7.3 No Refund Situations

Refunds will not be provided for:

Requests made more than 48 hours after being charged
Accounts terminated for violation of these Terms
Partial refunds for unused subscription time

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account billing page on the Service.

Upon cancellation:

Your subscription will be cancelled immediately
You will not be charged for subsequent billing periods
You may retain access to the Service until the end of your current billing period, depending on your plan settings
Your account data will be retained and accessible, but you will lose access to premium features

8.2 Data Deletion by You

You may delete individual projects at any time through your project settings page. When you delete a project:

All data associated with that project (prompts, tracking configurations, reports) will be permanently deleted
This action cannot be undone

8.3 Termination by Us

We may suspend or terminate your account if:

You violate these Terms or our Acceptable Use Policy
You engage in fraudulent activity or payment disputes
Your account is inactive for more than 12 months
We are required to do so by law or legal authority

8.4 Effect of Termination

Upon termination by us:

Your access to premium Service features will be immediately revoked
Your account data will be retained unless you request deletion
You will not receive a refund for any unused portion of your subscription (unless within the 48-hour refund window)
Sections of these Terms that by their nature should survive (e.g., limitations of liability, indemnification) will remain in effect

9. Acceptable Use Policy

9.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service professionally and responsibly.

9.2 Prohibited Activities

You may NOT:

Violate any applicable laws, regulations, or third-party rights
Use the Service to monitor competitors' trademarks or brands without authorization
Attempt to reverse engineer, decompile, or hack the Service
Use automated scripts or bots to scrape or abuse the Service
Upload malicious code, viruses, or harmful content
Interfere with or disrupt the Service or servers
Impersonate any person or entity or misrepresent your affiliation
Use the Service to spam, harass, or send unsolicited communications
Share your account credentials or access with unauthorized parties
Resell, sublicense, or redistribute the Service without permission
Use the Service in any way that could damage our reputation or business

9.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

Suspending or terminating your account
Removing prohibited content
Reporting illegal activity to law enforcement
Taking legal action to enforce these Terms

10. Intellectual Property Rights

10.1 Our IP Rights

The Service and its entire contents, features, and functionality (including but not limited to information, software, text, displays, images, video, audio, design, and interface) are owned by Bootstrapped LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Your License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license does not include:

Any right to resell or commercial use of the Service
Any right to copy, modify, or create derivative works
Any right to download or extract data at scale (except your own data)
Any right to use data mining, robots, or similar tools

10.3 Your Content

You retain all rights to the data you submit to the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide the Service to you.

You represent and warrant that:

You own or have the rights to all Your Content
Your Content does not violate any third-party rights or laws
Your Content does not contain malicious code or illegal material

10.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you or maintain confidentiality.

11. Third-Party Services and Content

11.1 Third-Party Services

The Service integrates with and displays data from third-party AI platforms and services. We are not responsible for:

The accuracy, availability, or reliability of third-party services
Changes to third-party APIs or platforms
Third-party terms of service or privacy policies

11.2 Third-Party Links

The Service may contain links to third-party websites. We do not endorse, control, or assume responsibility for any third-party sites or services. You access them at your own risk.

12. Data Ownership and Export

12.1 Your Data

You retain ownership of all data you input into the Service and reports generated for you. This includes:

Your brand and competitor tracking configurations
URLs and prompts you monitor
Reports and analytics data specific to your account

12.2 Data Export

Currently, automated data export is not available. However:

You may request a copy of your data by emailing support@promptmonitor.io
We will provide your data in a machine-readable format within 30 days
This right is subject to our data retention policies

12.3 Aggregated Data

We may use aggregated, anonymized data derived from user interactions to improve the Service, conduct research, and create industry benchmarks. This data will not identify you or your organization.

13. Disclaimers and Limitations of Liability

13.1 Service "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
Defects will be corrected
The Service will meet your specific requirements
Data and reports will be accurate or complete
Results from using the Service will be reliable

13.2 AI Platform Disclaimer

AI platforms and language models are constantly evolving. We do not guarantee:

The accuracy of AI mention tracking
Consistency of results across different AI platforms
That AI platforms will continue to operate or be accessible
That mention rates or visibility scores will improve

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOTSTRAPPED LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising from or related to your use of the Service, including but not limited to:

Loss of profits, revenue, or business opportunities
Loss of data or information
Loss of goodwill or reputation
Cost of procurement of substitute services
Any other intangible losses

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

13.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bootstrapped LLC, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights
Your Content or data submitted to the Service
Any fraudulent or illegal activity associated with your account

15. Modification of Terms

We reserve the right to modify these Terms at any time. When we make material changes:

We will update the "Last Updated" date at the top of these Terms
We will notify you via email at your registered email address
The changes will take effect 30 days after notification (or immediately for legal/security reasons)

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription before the changes take effect.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

16.2 Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at support@promptmonitor.io to attempt to resolve the dispute informally for at least 30 days.

Arbitration Agreement: If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, USA (or remotely via video conference).

Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to bring or participate in class actions, class arbitrations, or representative actions.

Exceptions: Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized access to the Service.

16.3 Jurisdiction

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bootstrapped LLC regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet outages, or failures of third-party services.

17.6 Survival

The following sections shall survive termination of these Terms: Intellectual Property Rights, Disclaimers and Limitations of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.

17.7 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Bootstrapped LLC.

17.8 Notices

All notices to you will be sent to the email address associated with your account. Notices to us should be sent to support@promptmonitor.io. Notices are deemed received when sent via email.
